Terms And Conditions Of Business
General
1.1 Any terms or conditions sought to be imposed by either party shall not be incorporated into the Contract and shall have no effect unless agreed to in writing by the other party.
1.2. We may, as your agent, directly or through an intermediary ask another contractor (Third Party Contractor) to carry out some or all of any work which you instruct us to carry out for you. We shall pay the reasonable charges of Third Party Contractors on your behalf and recharge them to you with our own fees. We will take all reasonable care in selecting and instructing a Third Party Contractor.
1.3 For the purposes of these terms and conditions The Leadership Artisan will be referred to as "TLA" in the ensuing text.
Prices And Payment
2.1 The prices for the supply of goods and/or services will be provided to the Client in a formal Quotation document.
2.2. For consultancy projects, unless otherwise agreed in writing between the parties, 30% of the total fees for the contract will be invoiced on commencement of the consultancy work, 50% of the fees will be invoiced on a monthly basis as the project proceeds and the final 20% of the fees will be invoiced on completion of the project. 2.3 In all other instances, the Client will be invoiced on delivery of the goods and/or services.
2.4 Invoices are due for payment within 30 days of the invoice date without any deductions including, but not limited to bank charges.
2.5 TLA shall be entitled to charge interest on overdue invoices from the date when payment becomes due from day to day until the date of payment at a rate of 1.5% per annum above the base rate of the Bank of England.
2.6 The price of goods and services is exclusive of Value Added Tax which shall be charged at the rate prevailing at the relevant tax point.
2.7 Expenses incurred in the course of the contract delivery such as travel, accommodation, subsistence and courrier costs will be charged but the need or otherwise for these costs will be specified in the formal Quotation document and submitted to the client for noting at the outset of discussions.
2.8 TLA shall be entitled to withhold delivery of any Products and/or services or cancel the contract if the client fails to pay to TLA any sum by the due date. TLA shall incurr no liability in respect of such withholding of delivery or cancellation. Upon such cancellation and without prejudice to any other right that TLA may have, the Client shall be liable to pay damages to TLA for breach of contract and any costs incurred by TLA associated with the recovery of the debt.
2.9 All payments payable to TLA under the Contract shall become due immediately upon termination of this Contract despite any other provision.
Orders And Order Cancellations/Variations
3.1 Any quotation is given on the basis that no contract will come into existence until TLA despatches an acknowledgement of Order to the Client.
3.2 Any quotation is valid for a period of 30 days provided that TLA has not previously withdrawn it.
3.3 An accepted Order may only be cancelled or varied with TLA's written consent, which may be granted on payment of the cancellation fee set out in these Terms and Conditions. Such consent shall not in any way predudice TLA's right to recover from the Client full compensation for any loss or expense arising from such cancellation or variation.
3.4 The training course cancellation fee is as follows:-
i) The full course fee will be payable by an individual/or their sponsoring employer should they withdraw from the course within 21 days of the course commencement date.
ii) 50% of the full course fee will be payable should an individual withdraw from a course in writing to TLA between 22 and 28 days prior to the course commencement.
iii) Should a candidate wish to transfer to an alternative course then canncellation fees will apply. A booking for the new course will be required and charged at the full rate.
iv) Substitute participants will be accepted on courses without additional charge provided they possess the required entry level experience/qualifications should the original candidate be unable to join the course.
3.5 Should TLA cancel a course or delivery of a service then a full refund will be provided to the client of any monies paid in advance of the course/service commencement.
3.6 If the Client requests a variation to the agreed programme then if possible, TLA will seek to deliver the request and charge the additional work at the Consultant's daily charge out rate.
3.7 A handling fee of 10% of the returned order value will be charged should goods be returned.
3.8 Goods supplied are not for resale.
Performance
4.1 If in our opinion it is not reasonably practicable for any reason to carry out any of the work we are instructed to carry out, we shall be entitled to refrain from carrying out or completing such work and we will consult with you with regard to alternative arrangements. We will, if requested, provide a written explanation as to why any work is no longer considered practicable.
4.2 If the cost to TLA of carrying out the work is subsequently increased by circumstances beyond our control then we shall notify you before any work is undertaken to which the increase will apply.
Ethics
5.1 All psychometric tools and related courses will be conducted in accordance with the Test Use Policy specified on this website and in accordance with the guidelines of the British Psychological Society Psychological Test Centre.
5.2 All psychometric tools and related courses will be delivered by contractors registered as competent in Part A (Aptitude Testing) and Part B (Personality Profiling) of the British Psychological Society's Psychological Test Centre.
Invalidity
6.1 If any part of these terms and conditions is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of these conditions will not be affected.
Liability
7.1 Except for death or personal injury caused by our negligent acts or omissions TLA shall only be liable for any loss or damage which is a reasonably foreseeable consequence of a breach of this Agreement.
7.2 You will be responsible for all claims, liabilities, damages, costs and expeses suffered or incurred by TLA as a result of your breach or default in the discharge of your obligations.
7.3 Where TLA deliver services and/or goods on your premises TLA will not accept liability for the cost of repairing or replacing parts of your existing systems which may prove faulty unless TLA have been negligent in realising that such damage may occur in the way the services/products were delivered.
7.4 In the event of losing or damaging your goods, TLA will pay for the reasonable costs of the repair or replacement (less wear or tear) of the item of provide you with a full refund if we have been negligent.
7.5 Nothing in these Terms and Conditions shall exclude or limit the Company's liability for death or personal injury resulting from the Company's negligence or that of its employees, agents or sub-contractors.
Governing Law And Jurisdiction
8.1 Parties to these Terms and Conditions of Business agree to submit to the exclusive jurisdiction of the courts of England.
Changes To Terms And Conditions Of Business
9.1 TLA reserve the right to make minor changes to these Terms and Conditions of Business from time to time.
Confidentiality
10.1 Each party, its agents and employees shall keep confidential all information obtained from the other pursuat to this Contract.
Data Protection
11.1 You consent to the computer storage and processing of your personal data by us in connection with our Terms and Conditions of Business and to the transmission of this data across the company and its business partners for the purposes of our legitimate interests including statistical analysis, marketing of our services and credit control. If you breach this Agreement, your personal data may be disclosed or passed to third parties to the extent necessary to assist recovery procedures.
